1. Fudi Eats is a marketplace #
[DRAFT — requires legal review]
Fudi Eats is a technology platform that connects buyers with independent food sellers. Fudi Eats does not make, store, inspect or sell food. Sellers are independent businesses and the sellers of record for everything they list. A purchase is a contract between the buyer and the seller.
By creating an account or using Fudi Eats, you agree to these terms.
2. Accounts #

If you sell on Fudi Eats, you are responsible for:

- Labeling: packaging and labeling as required, including the Florida cottage food label statement where it applies.
- Food safety: preparing, storing and handing off food safely.
- Accurate descriptions: including ingredients, allergens, quantities and photos that reflect what buyers receive.
- Honoring orders: having paid orders ready during the pickup window you set, or cancelling promptly when you can't.
Fudi Eats does not verify permits, inspect kitchens or certify food safety.

5. Payments, fees and refunds #
[DRAFT — requires legal review]
Payments are processed by Stripe through Stripe Connect. When a buyer pays, the charge is made on the seller's Stripe account. The seller is the merchant of record, and Fudi Eats collects an application fee from each sale.
- Fees: Fudi Eats' fee is a percentage of each sale, set by the fee schedule in effect when the listing is published. Stripe charges payment processing. Sellers see their exact payout before publishing a listing. [Current fee schedule: to be published here.]
- Sales tax: as the marketplace provider, Fudi Eats collects and remits Florida sales tax on sales made through Fudi Eats.
- Payouts: sellers are paid to their bank account by Stripe on their Stripe payout schedule, subject to Stripe's Connected Account Agreement.
- Refunds: [Refund policy placeholder: cancellations before the order cutoff, seller cancellations, no-shows and issue reports.]

- Anything that isn't food, or that is illegal, recalled, or misrepresented.
